ATLAS Customer Service and Data Use Agreement

Effective customer agreement. Version: 2026-08-11.1 Effective date: August 15, 2026 Provider: On Spot Solutions LLC, offering the ATLAS service ("On Spot," "ATLAS," "we," "us")

This Agreement applies to the customer identified in the applicable electronic order form ("Customer"). The individual accepting this Agreement represents that the individual has authority to bind Customer. This Agreement includes the applicable order form, Data Processing Addendum ("DPA"), Privacy Notice, Acceptable Use and AI Safety Policy, security exhibit, and any Enterprise/OEM addendum displayed at acceptance.

Customer notice: ATLAS provides decision support, not professional certification or equipment control. Pricing, entitlements, term, and any future subscription are disclosed in the accepted order and checkout before payment.

1. Service and account structure

ATLAS provides diagnostic decision support, equipment reference and service history, workflow continuity, operational reporting, and role-based management. An Organization is an isolated customer tenant and billing boundary. An Enterprise/OEM account may sponsor or administer authorized Organizations only within its order form and may see only the parent-level or aggregate information expressly authorized there.

Customer is responsible for its administrators, user roster, role and facility assignments, credential security, lawful authority over submitted information, and prompt removal of access that is no longer required.

2. Order, pilot, fees, and conversion

The order form controls the purchased product, fees, term, users, facilities, Organizations, implementation, support, and other allowances. Unless the order form expressly states otherwise, a founding pilot is a one-time purchase and does not renew automatically. Pilot access pauses at the end of the stated pilot term unless Customer affirmatively purchases a subscription. Any conversion price, pilot credit, and price-protection period must appear in the accepted order form.

Fees are exclusive of legally applicable taxes. A founding-pilot payment is refundable until guided onboarding begins. Once guided onboarding begins, the payment is non-refundable except where required by law or where On Spot cannot provide the pilot. Other refunds, credits, payment timing, failed payment, and cancellation follow the order form and applicable law. ATLAS will not treat silence as authorization to convert a pilot or create a recurring charge.

3. Customer Data ownership

As between the parties, Customer retains its rights in information submitted to ATLAS by or for Customer, including identifiable users and contacts, customer and Organization relationships, facilities, equipment records, diagnostic transcripts, photos, uploads, workflows, outcomes, reports, and support communications ("Customer Data"). No ownership of Customer Data transfers to On Spot under this Agreement.

4. Operational-data license and platform improvement

Customer grants On Spot a worldwide, nonexclusive, limited license during the Agreement to host, copy, transmit, process, display, secure, support, troubleshoot, evaluate, and otherwise use Customer Data as necessary to provide and administer ATLAS.

Customer also authorizes On Spot to use equipment references, diagnostic workflows, observations, outcomes, corrections, and related operational context internally to test, maintain, develop, and improve ATLAS. On Spot may create and retain de-identified or aggregated patterns, statistics, workflow learnings, and equipment-reference learnings that do not reasonably identify Customer, its direct customers, Organizations, users, or confidential records ("De-identified Learnings"). On Spot may use De-identified Learnings to improve ATLAS and its guidance for customers generally, provided On Spot does not re-identify or attempt to re-identify them.

On Spot will not use identifiable Customer Data to train a third party's general-purpose AI model, or disclose identifiable Customer Data as a reusable third-party training dataset, without a separate written amendment expressly authorized by Customer.

5. Confidentiality and tenant isolation

Each party will protect the other party's nonpublic business, technical, security, and commercial information using at least reasonable care and will use it only to perform or exercise rights under this Agreement. Confidential information excludes information the recipient can document was already lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source.

On Spot will not expose one Organization's identifiable users, direct customers, Organization relationships, private reports, photos, transcripts, or equipment-level history to another unaffiliated customer or Organization. Enterprise/OEM parents receive only information authorized by their order form and product role. Aggregate access does not include child-Organization transcripts, photos, named technicians, or private reports unless the affected Organization has separately authorized that access.

If law requires disclosure of confidential information, the recipient may disclose only what is legally required and, when legally permitted, will give prompt notice and reasonable assistance seeking protective treatment.

6. No sale, outside marketing, or solicitation

On Spot will not sell Customer Data. On Spot will not disclose identifiable Customer users, contacts, direct customers, or Organization relationships to another company for that company's advertising, marketing, lead generation, or solicitation. On Spot will not permit a service provider to use Customer Data for the provider's independent marketing or solicitation.

On Spot may communicate directly with Customer's authorized contacts about ATLAS, including account, security, support, billing, service, product, and legally permitted ATLAS marketing communications. Recipients may opt out of non-transactional marketing; security, account, billing, and service notices may continue when required to operate the account or comply with law.

7. Service providers and legal disclosures

Customer authorizes On Spot to use vetted infrastructure, authentication, hosting, email, payment, monitoring, support, and AI service providers ("Subprocessors") solely to operate ATLAS under protective terms. The DPA identifies the principal production service categories and governs material changes. On Spot may also disclose information when reasonably necessary to investigate fraud or security incidents, protect safety or legal rights, or comply with valid legal process.

8. Privacy, processing roles, and Customer instructions

The Privacy Notice describes On Spot's processing as a business or independent controller where applicable. For Customer Personal Data processed on Customer's behalf, the DPA controls and Customer acts as controller/business while On Spot acts as processor/service provider, except where law assigns a different role. Customer will provide required notices and obtain required permissions from its users and direct customers before submitting their information to ATLAS.

9. Data minimization and prohibited submissions

Customer will not submit payment-card data outside approved Stripe fields, account passwords, one-time codes, government identifiers, medical data, biometric templates, unnecessary surveillance or license-plate data, highly sensitive personal information, trade secrets Customer lacks authority to disclose, or other information prohibited by the Acceptable Use and AI Safety Policy. Customer will limit submissions to information reasonably necessary for authorized ATLAS workflows.

10. Security and incidents

On Spot will maintain the administrative, technical, and organizational safeguards in the final security exhibit. No system is completely secure, and ATLAS does not promise absolute security. Customer must use appropriate administrators and devices, protect credentials, review access, and promptly report suspected compromise to support@onspot-solutions.com. Incident responsibilities and notification timing are defined in the DPA and security exhibit.

11. AI and safety limitations

ATLAS output is advisory and may be incomplete, inaccurate, or unsuitable for a specific model, configuration, facility, or jurisdiction. ATLAS does not control equipment and does not replace manufacturer instructions, qualified human judgment, employer procedures, lockout/tagout, PPE, emergency procedures, codes, laws, or site rules. Customer and its users remain responsible for safe inspection, verification, authorization, escalation, and final action.

12. Acceptable use

Customer and users will not access another tenant; defeat security, safety, payment, or access controls; upload malware or unlawful content; reverse engineer or scrape ATLAS; misstate identity or repair outcomes; use ATLAS to build a competing dataset or model; or use the service for unlawful, unsafe, infringing, or unauthorized activity. The incorporated Acceptable Use and AI Safety Policy supplies additional restrictions.

13. Intellectual property and feedback

On Spot retains ATLAS software, prompts, diagnostic structures, interfaces, documentation, models, designs, and improvements, excluding Customer Data and third-party materials. During the paid term, On Spot grants Customer a limited, nonexclusive, nontransferable right to use ATLAS internally within its order form.

If Customer voluntarily provides product suggestions or feedback that does not contain Customer Data, Customer grants On Spot a perpetual, irrevocable, royalty-free right to use that feedback without restriction or attribution. This feedback license does not override Sections 3 through 7.

14. Retention, export, and deletion

During the term, Customer may access and export supported Customer Data as described in the product and order form. The post-termination retrieval period is 30 days. After that period, On Spot will delete or de-identify Customer Data according to the following retention schedule, subject to billing, tax, fraud, security, legal-hold, backup, and other legal obligations:

De-identified Learnings may be retained under Section 4. Enterprise/OEM termination does not automatically determine the status of a separately contracted child Organization. On Spot will administer deletion and backup cycles using commercially reasonable controls and the schedule stated here.

15. Suspension and termination

On Spot may proportionately suspend affected access for nonpayment, material breach, security risk, unlawful or unsafe use, or to protect customers and the platform. Where practicable, On Spot will provide notice and a reasonable opportunity to cure. Upon termination, accrued fees remain due, the 30-day retrieval period applies, and provisions concerning confidentiality, intellectual property, payment, limitations, dispute resolution, and data disposition survive as necessary to give them effect.

16. Support, changes, and availability

Support channels, hours, response targets, maintenance, and any service level appear in the order form or support exhibit. ATLAS may change over time. On Spot will not materially reduce purchased core functionality during a committed term without offering a commercially reasonable remedy. No uptime, savings, resolution-rate, or equipment-performance guarantee applies unless expressly signed.

17. Electronic acceptance and records

By selecting the required acceptance controls and continuing to checkout, the accepting individual: (a) confirms authority to bind Customer; (b) accepts this Agreement and each identified incorporated document; (c) authorizes the operational-data use in Section 4; and (d) agrees that the electronic action has the same effect as a signature. On Spot may record Customer, accepting user, account identity, document versions, timestamp, and reasonable device/browser evidence to prove acceptance and protect the transaction.

18. Governing law and venue

This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state courts located in Suffolk County, Massachusetts, and the applicable federal courts in the District of Massachusetts.

19. General terms

Neither party is liable for delay caused by events beyond its reasonable control. Customer may not assign this Agreement without On Spot's written consent, except with a merger or sale of substantially all assets if the successor assumes this Agreement. If any provision is unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver. This Agreement and its incorporated documents are the entire agreement concerning ATLAS and supersede prior discussions on that subject. Material changes apply prospectively after reasonable notice; an accepted order form controls conflicting commercial terms.
